tendre Supplier Terms & Conditions

These Terms & Conditions ("Terms") govern your use of www.tendre.com (the "Platform") as a subscribing supplier. A separate set of Terms & Conditions governs Occupier and Owner use of the Platform.

These Terms form part of and supplement tendre's general Terms of Use. Where there is any conflict between these Terms and the general Terms of Use, these Supplier Terms shall take precedence for Supplier users.

By subscribing to the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

1. Introduction

These Terms govern the relationship between tendre ("we", "us", "our") and any business or individual subscribing to the Platform as a supplier ("Supplier", "you", "your").

tendre is a digital marketplace connecting suppliers with occupiers, property owners, and landlords within the commercial real estate, workplace, and office procurement sector.

2. Services Provided

tendre provides subscribing Suppliers with access to a range of Platform features, which may include (depending on your subscription tier):

- Creation, management, and promotion of your supplier profile

- Inclusion in relevant supplier search results and discovery tools

- Access to project opportunities published by Occupiers and Owners

- Messaging and communication tools to engage with potential clients

- Analytics and performance data relating to your profile activity

- Project Benchmarking — cost benchmarking and market intelligence for commercial real estate projects

- Space Calculator — indicative office space requirements based on headcount and working pattern inputs

- New Office Planner — project timeline and planning tool for office relocation and fit-out projects

- Commute & Staff Analysis — routing and travel time estimates based on postcode-level data

- Category subscription management (core category and additional categories)

- Access to AI-powered features and insights where available on your plan

The specific features available to you depend on your subscription plan. tendre reserves the right to modify, add, or remove features from any plan with reasonable prior notice.

All outputs from Platform tools — including Project Benchmarking, Space Calculator, New Office Planner, and Commute & Staff Analysis — are indicative estimates only. They are based on aggregated, algorithmic, or third-party data and do not constitute professional advice of any kind. Suppliers must not present Platform tool outputs to clients as definitive, guaranteed, or professionally verified data.

tendre acts solely as a technology platform and intermediary. We are not a party to any agreement, contract, appointment, or transaction between you and any Occupier or Owner.

3. Subscription, Fees & Billing

3.1 Minimum Term

All subscriptions are entered into on a minimum 12-month term ("Initial Term"), regardless of whether payment is made monthly or annually.

Where a Supplier elects to pay monthly, this constitutes a monthly payment schedule only. It does not create a rolling monthly contract, and the full Initial Term remains binding.

By subscribing, you commit to the full 12-month term and acknowledge that you cannot terminate the subscription early except as set out in these Terms.

3.2 Fees

- Subscription fees are payable in advance, either monthly or annually as selected at the point of subscription

- All fees are exclusive of VAT and any other applicable taxes, which will be added where required by law

- You are responsible for all charges associated with your selected plan, including any additional category subscriptions

- Category subscription fees: your core service category is included within your base subscription; additional category subscriptions are charged at the applicable rate as displayed on the Platform at the time of subscription

3.3 Auto-Renewal

Subscriptions automatically renew for successive 12-month periods at the end of each term unless cancelled in accordance with Clause 3.4.

By subscribing, you authorise tendre (or its payment processor) to charge your selected payment method for the applicable renewal fees.

tendre will endeavour to provide reasonable advance notice prior to each renewal date.

3.4 Cancellation

To cancel your subscription and prevent automatic renewal, you must provide at least 30 days' written notice prior to the renewal date.

Cancellation requests must be submitted:

- Via the account management section of the Platform; or

- By contacting tendre directly at legal@tendre.com

Cancellation:

- Takes effect at the end of the current 12-month term

- Does not terminate your active subscription or payment obligations early

- Does not entitle you to a refund of fees already paid

No refunds will be provided for:

- Early termination requests

- Unused time remaining in the current term

- Partial billing periods

- Any period during which your account was suspended due to breach of these Terms

3.5 Failed Payments

If any payment fails or is reversed, tendre may, at its discretion:

- Retry the payment automatically using the same payment method

- Suspend access to some or all Platform features

- Downgrade your account to a reduced access tier

- Terminate your subscription following reasonable notice

You remain liable for all fees due, including any unpaid amounts for the remainder of the current term. Interest may be charged on overdue amounts at 4% above the Bank of England base rate from the due date until payment is made.

3.6 Pricing Changes

tendre reserves the right to update its subscription pricing and fees.

- Changes to pricing apply from the next renewal date only

- Reasonable prior notice (no less than 30 days) will be provided before any pricing change takes effect

- Continued use of the Platform after the notice period constitutes acceptance of the updated pricing

If you do not accept updated pricing, you must cancel your subscription in accordance with Clause 3.4 before the renewal date.

3.7 Founding Offer — Professional Plan

This clause applies only where you subscribed under the tendre Professional Founding Offer (the "Founding Offer").

- The Founding Offer rate is a reduced introductory subscription price made available for a limited period to early adopters of the Professional plan

- The Founding Offer rate applies to your subscription for as long as you maintain a continuously active Professional subscription

- If your subscription lapses, is cancelled, is downgraded to Standard tier, or is terminated for any reason, the Founding Offer rate is permanently forfeited. Reinstatement of your subscription will be at the then-current standard Professional pricing

- The Founding Offer is personal to the subscribing entity and is not transferable to any other account, organisation, or successor entity

- tendre reserves the right to withdraw the Founding Offer from new subscribers at any time. Existing Founding Offer subscribers are not affected by such withdrawal, provided their subscription remains continuously active

Note: This clause will be removed from these Terms when the Founding Offer is no longer available to new subscribers. Its removal does not affect the rights of existing Founding Offer subscribers who remain continuously active.

4. No Guarantee of Leads, Project Opportunities, or Outcomes

You acknowledge and agree that:

- tendre does not guarantee any minimum volume of leads, enquiries, project opportunities, or contract awards

- Platform performance depends on factors outside tendre's control, including market conditions, Occupier demand, the quality and completeness of your profile, and your own platform activity

- Analytics and performance data provided by the Platform are indicative only and are not guaranteed to reflect actual business outcomes

- Your subscription fee is payment for access to the Platform and its features, not for any guaranteed commercial result

No claim shall be made against tendre on the basis of failure to generate leads, enquiries, or commercial opportunities.

5. Supplier Obligations

You agree to:

- Provide accurate, complete, and up-to-date information in your profile, including credentials, case studies, service descriptions, team information, and contact details

- Maintain a professional, truthful, and compliant profile at all times

- Respond only to projects that fall within your genuine capability and service offering

- Conduct all business activities lawfully, professionally, and in good faith

- Keep your account and payment details current and accurate

- Comply with all applicable laws, regulations, and professional standards relevant to your business

You must not:

- Misrepresent your services, capabilities, experience, or qualifications

- Upload fictitious, exaggerated, or misleading case studies, testimonials, or credentials

- Claim accreditations, certifications, or memberships you do not hold

- Mislead Occupiers or Owners about your identity, organisation, or commercial offer

- Use the Platform in a manner that could damage the reputation of tendre or other users

6. Platform Use Restrictions

You must not:

- Harvest, scrape, or copy contact details, data, or leads from the Platform for use outside the Platform without prior written consent from tendre

- Use the Platform's messaging tools for unsolicited commercial communications or spam

- Attempt to circumvent Platform processes, including using direct contact information obtained through the Platform to avoid subscription fees or lead tracking

- Attempt to manipulate your own rankings, review scores, or visibility metrics through artificial means

- Engage with project information from Occupiers you have no genuine intention of working with

- Use or disclose any confidential information obtained through the Platform for purposes outside the Platform

7. Content and Marketing Rights

By submitting content to the Platform (including your profile, images, case studies, team information, and project references), you:

- Confirm that you own or have the right to use all such content

- Grant tendre a worldwide, non-exclusive, royalty-free licence to display, reproduce, and distribute your content on the Platform and in tendre's marketing and promotional materials

- Authorise tendre to optimise the presentation of your content within the Platform

You remain solely responsible for:

- The accuracy and legality of all content you submit

- Ensuring your content does not infringe any third-party intellectual property rights

- Obtaining any necessary consents for images or references to individuals within your content

tendre reserves the right to remove or modify any content that, in its reasonable opinion, breaches these Terms, is misleading, or damages the integrity of the Platform.

8. Rankings, Visibility & Algorithms

You acknowledge and agree that:

- tendre determines supplier rankings, search placement, and visibility within the Platform at its sole discretion

- Algorithms and ranking methodology may be modified by tendre at any time without notice

- Suppliers may be featured, prioritised, or promoted based on platform criteria, subscription tier, profile completeness, or other factors

- No specific ranking, placement, or level of visibility is guaranteed unless explicitly agreed in writing

tendre does not accept liability for any change in your profile's ranking, visibility, or placement.

9. Analytics and Data

Analytics provided by the Platform:

- Are provided in good faith but are indicative only

- May be based on aggregated or estimated data

- Should not be relied upon as exact or guaranteed performance metrics

- May be updated, revised, or withdrawn at any time

You must not use Platform analytics data in a misleading or inaccurate manner in your own marketing or communications.

10. Data Protection

10.1 Your Data Obligations

In using the Platform, you may receive or process personal data relating to Occupiers, Owners, or other users. You agree to:

- Handle all such personal data in accordance with applicable data protection law, including UK GDPR

- Not use personal data obtained through the Platform for any purpose beyond the management of your relationship with the relevant user

- Not share, sell, or disclose personal data obtained through the Platform to any third party without appropriate lawful basis

10.2 tendre's Processing of Your Data

tendre processes personal data relating to you and your team in accordance with its Privacy Policy. By subscribing, you confirm that your nominated users have been informed of how their data will be processed.

10.3 Data Processing Agreement

Where tendre processes personal data on your behalf in connection with Platform services, the terms of tendre's Data Processing Agreement (available in the Platform's documentation) apply.

11. Platform Integrity & Enforcement

To protect the integrity of the marketplace, tendre reserves the right to:

- Monitor activity and usage patterns on the Platform

- Investigate suspected misuse or breach of these Terms

- Remove or amend content without notice where it breaches these Terms

- Suspend or restrict access to Platform features

- Terminate your subscription in accordance with Clause 12

This includes but is not limited to action taken in response to:

- Misrepresentation in your profile or communications

- Abuse of Platform messaging or lead generation features

- Behaviour that damages the trust, integrity, or reputation of the Platform

- Violation of any applicable law or regulation

Where enforcement action is taken due to your breach of these Terms, no refund will be issued and you remain liable for any fees outstanding for the remainder of the current term.

12. Termination by tendre

tendre may suspend or terminate your subscription immediately, without refund, if:

- You breach any material provision of these Terms

- You misrepresent your identity, services, or credentials

- Your activity is found to damage the integrity of the Platform or the interests of other users

- Payment is not made and remains outstanding despite reasonable notice

- You act in a manner that exposes tendre or other users to legal, reputational, or commercial risk

Upon termination:

- Your access to the Platform's subscriber features will be removed

- Your active profile will be removed from paid subscription discovery features

- Your profile information may remain accessible in a limited, controlled form within tendre's public supplier directory at tendre's sole discretion, until such time as the Platform operates on a fully subscription-only basis. tendre may manage the visibility, scope, and presentation of any such dormant profile without further notice

- Outstanding fees for the remainder of the current term remain due and payable

- Your data will be handled in accordance with the Privacy Policy

13. Dispute Handling

13.1 Disputes with Occupiers or Owners

All disputes relating to services, performance, contracts, or commercial outcomes are strictly between you and the relevant Occupier or Owner.

tendre:

- Is not a party to any such dispute

- Does not mediate, arbitrate, or adjudicate between users

- Accepts no liability for the outcome of any dispute between users

13.2 Platform Disputes

For issues relating to billing, account access, or Platform functionality:

- You must notify tendre promptly and in writing at legal@tendre.com

- tendre will investigate the matter in good faith and within a reasonable timeframe

- tendre's decision, made reasonably and in good faith, shall be final in respect of Platform-related matters

14. Indemnity

You agree to indemnify, defend, and hold harmless tendre, its officers, employees, and agents from any and all claims, damages, losses, costs, and expenses (including reasonable legal fees) arising from or in connection with:

- Your services, performance, or failure to deliver

- Your use of the Platform or breach of these Terms

- Any dispute between you and any Occupier, Owner, or other user

- Misrepresentation, inaccurate content, or misleading information you provide

- Your infringement of any third-party intellectual property or other rights

- Your breach of applicable data protection or other regulatory obligations

15. Limitation of Liability

To the fullest extent permitted by applicable law:

- tendre shall not be liable for any loss of revenue, profit, business opportunity, goodwill, or contracts arising from your use of the Platform

- tendre shall not be liable for failure to generate leads, project opportunities, or commercial outcomes

- tendre shall not be liable for any indirect, incidental, special, or consequential loss

- tendre's total aggregate liability to you under or in connection with these Terms shall not exceed the total subscription fees paid by you to tendre in the 12 months immediately preceding the event giving rise to the claim

Nothing in these Terms excludes liability that cannot be excluded under applicable law, including liability for fraud or death or personal injury caused by negligence.

16. Intellectual Property

All intellectual property in the Platform, including its design, technology, features, data, branding, and content (excluding Supplier-submitted content), remains the exclusive property of tendre or its licensors.

You may not:

- Copy, reproduce, or exploit any part of the Platform without prior written consent

- Reverse engineer, decompile, or attempt to replicate Platform functionality

- Use tendre's branding, trademarks, or trade dress without prior written authorisation

- Use Platform data, benchmarking outputs, or analytics outside the permitted use defined in these Terms

17. Enterprise Supplier Addendum

Where a Supplier enters into a separate enterprise or bespoke agreement with tendre:

- That agreement shall take precedence over these Terms to the extent of any conflict, where explicitly stated in that agreement

- Enterprise arrangements may include custom pricing, multi-region access, dedicated account management, enhanced analytics, or custom integrations

- Enterprise features and arrangements do not guarantee performance outcomes, lead volume, or commercial results

- All other provisions of these Terms apply where not expressly modified by the enterprise agreement

18. Changes to These Terms

We may update these Terms from time to time. The date at the top of this document indicates when they were last revised.

Reasonable prior notice will be provided for material changes.

Continued use of the Platform following any update constitutes acceptance of the revised Terms. If you do not accept updated Terms, you must notify tendre and cancel your subscription in accordance with Clause 3.4.

19. Entire Agreement

These Terms, together with the general Terms of Use, Privacy Policy, Data Processing Agreement, and any applicable enterprise agreement, constitute the entire agreement between you and tendre in respect of your use of the Platform as a Supplier.

They supersede all prior representations, agreements, or understandings, whether written or oral, relating to the same subject matter.

20. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable law.
