tendre Occupier & Owner (Landlord) Terms & Conditions

These Terms & Conditions ("Terms") apply specifically to Occupiers, property owners, and landlords using www.tendre.com. A separate set of Terms & Conditions governs Supplier use of the Platform.
These Terms form part of and supplement tendre's general Terms of Use.
1. Introduction
These Occupier & Owner Terms & Conditions govern your use of www.tendre.com (the "Platform") as an occupier, property owner, or landlord ("User", "you", "your").
By using the Platform, you agree to these Terms. Where there is any conflict between these Terms and the general Terms of Use, these Terms shall take precedence for Occupier and Owner users.
2. Role of tendre
tendre provides a technology platform to facilitate:
- Supplier discovery and profile browsing
- Project planning, benchmarking, and cost modelling
- Project brief creation, management, and distribution
- Direct communication between Occupiers, Owners, and Suppliers
- AI-powered insights and market analysis
- Platform tools including Space Calculator, New Office Planner, Project Benchmarking, and Commute & Staff Analysis
- ORION — an invitation-only occupier peer network (where access has been granted)
tendre acts solely as a technology intermediary and is not a party to any agreement, contract, appointment, or transaction between users.
3. Eligibility
You confirm that:
- You are acting in a business or professional capacity as an occupier, property owner, landlord, or authorised representative of such an organisation
- You have the authority to bind your organisation to these Terms
- All information you provide to the Platform is accurate, complete, and up to date
4. Genuine Use and Fair Usage
You agree to use the Platform in good faith and with genuine commercial intent.
You must:
- Only create bona fide, legitimate projects
- Have a reasonable intention to appoint or meaningfully engage with suppliers
- Provide sufficient and accurate project information to enable meaningful supplier responses
You must not:
- Create fictitious, speculative, test, or non-genuine projects
- Use the Platform solely for market research, price discovery, or supplier data harvesting without clear and explicit disclosure to suppliers
- Repeatedly engage suppliers with no intention to proceed with an appointment or engagement
- Circumvent fair usage principles to extract commercial value from the Platform without genuine intent
tendre reserves the right to determine, at its sole discretion, whether usage is genuine, and to suspend or restrict accounts accordingly.
5. Project Integrity
When creating and managing projects, you agree that:
- All information provided is accurate and complete to the best of your knowledge
- Project scope, timelines, budget parameters, and requirements are not misleading
- You will engage with suppliers who respond in a reasonable, professional, and timely manner
tendre does not guarantee:
- The quality or suitability of supplier responses
- Project outcomes or the award of any contract
- The number of suppliers who will respond to any given project
6. Supplier Interactions
You acknowledge that:
- All communications and engagements with suppliers occur directly between you and the supplier
- tendre does not verify all supplier-provided information and cannot guarantee supplier performance
- You are responsible for conducting appropriate due diligence before appointing any supplier
You agree not to:
- Mislead suppliers regarding project scope, timeline, budget, or intent
- Harass, abuse, or unfairly treat any supplier on the Platform
- Use Platform messaging or contact features to solicit suppliers outside the Platform without genuine engagement intent
7. Platform Tools, Benchmarking, and AI
The Platform provides a range of tools and analytical features, which may include (subject to your account tier):
- Project Benchmarking — cost benchmarking and market intelligence for commercial real estate projects
- Space Calculator — indicative office space requirements based on headcount and working pattern inputs
- New Office Planner — project timeline and planning tool for office relocation and fit-out projects
- Commute & Staff Analysis — routing and travel time estimates based on postcode-level data
- AI-generated project insights, brief generation, and supplier recommendations
You acknowledge and agree that:
- All outputs from Platform tools are indicative estimates only
- They are based on aggregated, algorithmic, or third-party data and may not reflect current market conditions
- They do not constitute professional, financial, legal, technical, or architectural advice
- You must independently verify all information before making property, workplace, or commercial decisions based on Platform outputs
For Commute & Staff Analysis specifically: results are routing estimates based on postcode data and must not be used as the sole basis for any property search or relocation decision.
For Space Calculator specifically: space requirement outputs are indicative estimates based on the inputs you provide and do not constitute architectural, space planning, or occupational advice.
8. ORION — Occupier Network
ORION is an invitation-only peer network exclusively for verified Occupiers registered on the Platform. Access to ORION is not automatic and is granted at tendre's discretion.
Where you are granted access to ORION:
- You may create and maintain a member profile visible to other ORION members
- You are solely responsible for the accuracy, completeness, and legality of all content you post on your ORION profile
- tendre does not verify or endorse any information contained in member profiles
- Profile content you share may be visible to other verified ORION members; you must not post sensitive, confidential, or personal information without appropriate authorisation
- You must not use ORION to solicit business, conduct commercial prospecting, or circulate promotional materials
tendre reserves the right to remove ORION content, suspend, or permanently revoke ORION access at any time where these Terms or Platform rules are breached.9. Free Tier and Usage Limits
Certain Platform features are currently available to Occupiers and Owners free of charge, including:
- Project creation and management
- Supplier search and messaging
- Staff & Commute Analysis (subject to monthly usage limits as displayed on the Platform)
tendre reserves the right to:
- Introduce fees for any currently free features with reasonable prior notice
- Impose or adjust usage limits on any feature
- Restrict access to features where fair usage is being exceeded or abused
10. No Reliance
To the fullest extent permitted by law:
- All decisions made using the Platform are your sole responsibility
- tendre shall not be liable for any outcomes, losses, or consequences arising from your use of the Platform or reliance on Platform data or tools
11. Your Content and Data
11.1 Visibility and Confidentiality
tendre's approach to Occupier visibility is user-controlled. You decide how much information is visible to suppliers and other Platform users. By default, your identity, company name, and project details are not publicly disclosed and are used only to facilitate the Platform services you have requested.
You may choose to share more information with specific suppliers at any point — for example, when inviting suppliers to a project or entering direct communications. Any information you choose to disclose is shared at your discretion.
11.2 Responsibility
You are responsible for all content and data you upload to the Platform, including:
- Project details and project information
- Communications with suppliers
- Staff postcode data submitted via analysis tools
You must ensure that all content is:
- Accurate and not misleading
- Obtained and shared lawfully
- Not in breach of any third-party rights
Where you submit employee or staff data (for example, postcodes for commute analysis), you are responsible for ensuring you have a lawful basis for doing so and have provided appropriate notices to relevant individuals.
11.3 Licence
You grant tendre a worldwide, non-exclusive, royalty-free licence to use your content and data to:
- Operate and improve the Platform and its features
- Generate aggregated, anonymised insights and analytics
- Develop and improve AI-powered features
12. Platform Integrity and Enforcement
To protect the integrity of the marketplace, tendre reserves the right to:
- Monitor activity and usage patterns
- Investigate suspected misuse or breach of these Terms
- Remove or amend content without notice
- Suspend or terminate access
- Restrict access to features
This includes but is not limited to action in response to:
- Fake or non-genuine projects
- Repeated or systematic supplier misuse
- Misleading or inaccurate project or organisation data
- Abuse of free-tier features
tendre's decisions in enforcement matters are final where necessary to protect the Platform.
13. Limitation of Liability
To the fullest extent permitted by law, tendre shall not be liable for:
- Any loss arising from your use of the Platform or reliance on Platform data
- Supplier performance, failure to deliver, or disputes between users
- Decisions made based on benchmarking, AI outputs, or commute analysis results
- Indirect, incidental, consequential, or special losses of any kind
14. Indemnity
You agree to indemnify and hold harmless tendre, its officers, employees, and agents from any claims, damages, costs, or losses arising from:
- Your misuse of the Platform or breach of these Terms
- Inaccurate, misleading, or unlawful content or data you provide
- Disputes arising between you and suppliers through the Platform
- Your failure to comply with applicable data protection obligations in relation to staff or other personal data submitted to the Platform
15. Suspension and Termination
We may suspend or terminate your access immediately if:
- You breach these Terms or the general Terms of Use
- Your activity is determined to be non-genuine, harmful, or in bad faith
- Your use of the Platform compromises its integrity or the interests of other users
16. Changes to These Terms
We may update these Terms from time to time. The date at the top of this document indicates when they were last revised.
Continued use of the Platform following any update constitutes acceptance of the revised Terms.
17. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise required by applicable law.
